HILIGHT SPORTS AFFILIATE PROGRAM TERMS

1. AGREEMENT TO TERMS
By checking the box indicating your acceptance of these Affiliate Program Terms ("Terms") and clicking "Submit," "Sign Up," or similar button, you ("Affiliate," "you," or "your") agree to be bound by these Terms, which constitute a legally binding agreement between you and Hilight Sports, LLC ("Hilight Sports," "Company," "we," "us," or "our").
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CHECK THE ACCEPTANCE BOX OR PARTICIPATE IN THE PROGRAM.
Your participation in the Hilight Sports Affiliate Program ("Program") is also subject to our general Terms of Service and Privacy Policy, which are incorporated herein by reference.
2. PROGRAM OVERVIEW
The Affiliate Program allows approved participants to earn commissions and bonuses by promoting Hilight Sports' platform and referring new users through personalized referral links and promotional codes ("Affiliate Code").
3. ELIGIBILITY AND ENROLLMENT
3.1. To participate in the Program, you must: (a) be at least 18 years of age; (b) have a valid Hilight Sports account in good standing; (c) provide accurate, complete registration information; (d) comply with all applicable laws and regulations.
3.2. Hilight Sports reserves the right to accept or reject any Affiliate application at its sole discretion without providing a reason.
3.3. Affiliate status is non-transferable and may not be sold, assigned, or otherwise transferred to any third party.
3.4. Ambassador Program: Hilight Sports operates a separate Ambassador Program with additional benefits, including per-athlete signup bonuses. Ambassador status is by invitation only and is granted at Company's sole discretion. Affiliates interested in Ambassador status may express interest but are not guaranteed consideration or acceptance.
4. COMMISSION STRUCTURE AND RATES
4.1. Current Rate Schedule
The following commission rates are effective as of the date shown above. All rates are subject to modification pursuant to Section 5.
A. College Coach Signup Bonus
Rate: $1.00 USD per verified college coach signup
Type: One-time payment
Conditions: Coach must sign up using Affiliate's unique referral link, register with a valid .edu email address, AND verify their account via email confirmation.
B. Premium Subscription Commission (Monthly)
Conversion Rate: 15% of the full pre-discount monthly subscription price
Residual Rate: 15% of the full pre-discount monthly subscription price for each subsequent month the referred user remains an active premium subscriber
Type: Recurring monthly payment
User Benefit: Users receive a 7-day free trial with full platform access. If the user signs up using Affiliate's code, they receive a 50% discount on their first paid month of premium subscription (the month immediately following the free trial). Starting on the second paid month, user pays full price.
Conditions: User must apply Affiliate Code at initial signup/trial registration. Commission calculated on full price before any discount is applied. Commissions are only payable after the user converts to a paid subscription following the free trial period.
C. Premium Subscription Commission (Annual)
Rate: 20% of the full pre-discount annual subscription price
Type: One-time payment at each annual subscription purchase or renewal
User Benefit: Users receive a 7-day free trial with full platform access. If the user signs up using Affiliate's code and selects annual billing, they receive a 20% discount on the full value of the annual subscription.
Conditions: User must apply Affiliate Code at initial signup/trial registration. Commission calculated on full price before discount is applied. Commissions are only payable after the user converts to a paid subscription following the free trial period. Same terms apply to renewals: if referred user renews their annual subscription (with or without code), Affiliate receives 20% commission on full pre-discount renewal price.
4.2. Benefits NOT Included in Affiliate Program
The following benefits are available ONLY to participants in the Ambassador Program and are NOT available to Affiliates:
Athlete Signup Bonus: The $0.10 per verified athlete signup bonus is reserved exclusively for Ambassadors.
4.3. Verification Requirements
Commissions and bonuses are payable ONLY for users who have:
Completed account registration through Affiliate's unique referral link or using Affiliate's code; AND
Verified and activated their account via email confirmation; AND
Not previously registered on the Hilight Sports platform.
Self-referrals, fraudulent signups, duplicate accounts, and signups that fail verification are not eligible for commission.
5. RATE MODIFICATIONS
5.1. The commission rates, bonus amounts, and user discount percentages set forth in Section 4 constitute the "Rate Schedule" and are set at Company's sole discretion.
5.2. Company reserves the right to modify the Rate Schedule at any time. Company will provide Affiliates with fourteen (14) days' advance written notice of any Rate Schedule changes via email to the address associated with Affiliate's account and/or via the Affiliate dashboard.
5.3. Continued participation in the Program after the effective date of any Rate Schedule modification constitutes acceptance of the modified rates. If you do not agree to modified rates, you may terminate your participation pursuant to Section 10.
5.4. Rate modifications apply prospectively only and do not affect commissions already earned on transactions completed prior to the effective date of the modification.
6. PAYMENT TERMS
6.1. Payment Schedule: Commission payments are processed on the first (1st) day of each calendar month for all verified, eligible commissions earned during the prior calendar month.
6.2. Minimum Payout Threshold: Payments will only be issued when accrued commissions reach a minimum of $25.00 USD. Balances below this threshold will roll over to the following month.
6.3. Payment Method: Payments will be made via Stripe. Affiliate is responsible for providing and maintaining accurate payment information.
6.4. Dashboard Access: Affiliates will have access to a live dashboard displaying real-time tracking of referral link usage, code redemptions, and calculated commissions. Dashboard figures are estimates; final payment amounts are determined by Company after verification.
6.5. Taxes: Affiliate is solely responsible for all taxes associated with commission payments. Company may require completion of tax documentation (e.g., W-9 for U.S. persons) before issuing payments. Company will issue appropriate tax forms as required by law.
6.6. Currency: All payments are made in U.S. Dollars (USD).
6.7. Payment Disputes: Any dispute regarding commission calculations must be submitted in writing within thirty (30) days of the payment date. Failure to dispute within this period constitutes acceptance of the payment as accurate.
7. AFFILIATE OBLIGATIONS AND CONDUCT
7.1. Promotional Standards: Affiliate agrees to promote Hilight Sports in a professional, honest, and ethical manner that reflects positively on the Company brand.
7.2. Prohibited Conduct: Affiliate shall NOT:
(a) Make false, misleading, or unsubstantiated claims about Hilight Sports, its services, or potential results users may achieve;
(b) Use spam, unsolicited bulk messaging, or any form of communication that violates CAN-SPAM, TCPA, or similar laws;
(c) Engage in cookie stuffing, click fraud, ad injection, or any form of artificial inflation of referrals or clicks;
(d) Bid on Hilight Sports branded keywords (including "Hilight," "Hilight Sports," and variations) in paid search advertising without prior written approval;
(e) Create fake accounts, incentivize fake signups, or engage in any fraudulent referral activity;
(f) Impersonate Hilight Sports or suggest official employment or agency relationship;
(g) Promote Hilight Sports on websites or platforms containing illegal content, hate speech, adult content, or content promoting violence;
(h) Violate any applicable laws, regulations, or third-party platform terms of service in promotional activities;
(i) Share Affiliate Code or referral links with coupon aggregation sites, deal forums, or similar platforms without prior written approval.
7.3. FTC Compliance: Affiliate must clearly disclose the affiliate relationship in all promotional content as required by Federal Trade Commission guidelines. Acceptable disclosures include, but are not limited to: "#ad," "#sponsored," "#affiliate," or clear statements such as "I earn a commission if you sign up through my link."
7.4. Intellectual Property: Affiliate may use Hilight Sports logos, trademarks, and approved marketing materials solely for Program purposes and in accordance with any brand guidelines provided. All intellectual property remains the sole property of Hilight Sports. Affiliate gains no ownership rights through Program participation.
8. COMPANY RIGHTS AND DISCLAIMERS
8.1. Referral Validation: Company reserves the right to validate all referred users and withhold or reverse commissions for referrals that violate these Terms, fail verification, are fraudulent, or result in chargebacks or refunds.
8.2. Program Modification: Company may modify, suspend, or discontinue any aspect of the Program at any time with reasonable notice to Affiliates.
8.3. No Guaranteed Earnings: Company makes no representations or guarantees regarding potential earnings from Program participation. Results depend on Affiliate's individual efforts and market conditions.
8.4. Relationship: Affiliate is an independent contractor, not an employee, agent, or partner of Hilight Sports. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship.
9. CONFIDENTIALITY
Affiliate agrees to maintain the confidentiality of non-public Program information, including commission structures not publicly advertised, internal performance metrics, and any proprietary information shared by Company. This obligation survives termination of these Terms.
10. TERM AND TERMINATION
10.1. Term: These Terms are effective upon your acceptance and continue until terminated by either party.
10.2. Termination by Affiliate: You may terminate your participation in the Program at any time by providing written notice to contact@hilightsports.com or through the account settings in your Affiliate dashboard.
10.3. Termination by Company Without Cause: Company may terminate your participation in the Program at any time for any reason or no reason by providing written notice via email to the address associated with your account.
10.4. Termination by Company For Cause: Company may terminate your participation immediately and without prior notice if you:
(a) Breach any provision of these Terms;
(b) Engage in fraudulent, deceptive, or illegal activity;
(c) Cause material harm to Company's brand, reputation, or business interests;
(d) Violate the Hilight Sports Terms of Service or Privacy Policy;
(e) Provide false information in your Affiliate application or at any time during participation.
10.5. Effect of Termination:
(A) Termination Without Cause (by either party):
Upon termination without cause by either Affiliate or Company:
(i) Affiliate's referral links and codes will be deactivated;
(ii) Affiliate may not earn commissions on new referrals occurring after the termination effective date;
(iii) Residual Commission Runout Period: For referred users who completed their initial qualifying transaction BEFORE the termination effective date, Affiliate will continue to receive applicable residual commissions (as described in Section 4.1.B and 4.1.C) for a period of ninety (90) days following the termination effective date ("Runout Period"). After the Runout Period expires, no further residual commissions will be paid regardless of whether referred users remain active subscribers.
(iv) Any accrued, unpaid commissions that meet the minimum payout threshold will be paid in the next regular payment cycle.
(B) Termination For Cause (by Company):
Upon termination for cause:
(i) Affiliate's referral links and codes will be immediately deactivated;
(ii) All residual commission rights are immediately forfeited. No Runout Period applies.
(iii) Company reserves the right to withhold any unpaid commissions pending investigation of the conduct giving rise to termination.
(iv) If Affiliate's conduct resulted in fraudulent, invalid, or refunded transactions, Company may recoup previously paid commissions from any amounts otherwise owed to Affiliate or pursue recovery through other legal means.
10.6. Survival: Sections 8, 9, 10.5, 11, 12, and 13 shall survive any termination of these Terms.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HILIGHT SPORTS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM OR THESE TERMS.
COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO AFFILIATE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. DISPUTE RESOLUTION
12.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
12.2. Informal Resolution: Before initiating formal dispute resolution, the parties agree to attempt to resolve any dispute informally by contacting contact@hilightsports.com.
12.3. Arbitration: Any dispute arising out of or relating to these Terms that cannot be resolved informally shall be resolved by binding arbitration administered by American Arbitration Association (AAA) in accordance with its rules. The arbitration shall take place in Deerfield Beach, FL. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
12.4. Class Action Waiver: Affiliate agrees that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.
13. GENERAL PROVISIONS
13.1. Entire Agreement: These Terms, together with the Rate Schedule, Terms of Service, and Privacy Policy, constitute the entire agreement between the parties regarding the Program and supersede all prior agreements and understandings.
13.2. Amendments: Company may amend these Terms at any time by posting updated Terms and providing notice via email or the Affiliate dashboard. Continued participation after the effective date of amendments constitutes acceptance.
13.3. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.4. Waiver: Failure by Company to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
13.5. Assignment: Affiliate may not assign or transfer any rights or obligations under these Terms without Company's prior written consent. Company may assign these Terms without restriction.
13.6. Notices: Notices to Affiliate will be sent to the email address associated with the Affiliate account. Notices to Company should be sent to contact@hilightsports.com.
14. ACKNOWLEDGMENT
BY CHECKING THE BOX AND CLICKING "SUBMIT" OR SIMILAR BUTTON, YOU ACKNOWLEDGE THAT:
You have read, understand, and agree to be bound by these Terms;
You are at least 18 years of age;
You have the legal capacity to enter into this agreement;
You understand that commission rates may be modified with 14 days' notice;
You understand the termination provisions and their effect on residual commissions;
You agree to the arbitration and class action waiver provisions in Section 12;
You understand that certain benefits (including athlete signup bonuses) are reserved for the Ambassador Program and are not available to Affiliates.
